These General Terms and Conditions apply to all sales of goods by Rickmers Ship Chandler via the online shop as well as to orders placed by email, in writing or by any other agreed means.<\/p>\n<p>2. The Seller sells to both consumers (B2C) and businesses (B2B).<\/p>\n<p>3. A consumer is any natural person who acts for purposes that are predominantly outside their commercial or self-employed professional activity.<\/p>\n<p>4. A business is any natural or legal person or legally capable partnership who, when concluding the contract, acts in the exercise of their commercial or self-employed professional activity.<\/p>\n<p>5. All mandatory statutory consumer protection provisions additionally apply to consumers.<\/p>\n<p>6. The provisions of these GTC expressly designated as B2B provisions apply to businesses.<\/p>\n<p>7. Deviating terms and conditions of the customer shall apply only if the Seller has expressly agreed to their validity.<\/p>\n<p>\u00a7 2 OFFERS AND CONCLUSION OF CONTRACT<\/p>\n<p>1. The presentation of goods in the online shop generally constitutes an invitation to submit an order.<\/p>\n<p>2. By submitting the order, the customer makes a binding offer to purchase the selected goods.<\/p>\n<p>3. An automatically generated order receipt merely confirms receipt of the order and does not constitute acceptance unless acceptance is expressly declared therein.<\/p>\n<p>4. The contract is concluded by:<br \/>\na) express order confirmation by the Seller or<br \/>\nb) delivery of the ordered goods,<br \/>\nwhichever occurs first.<\/p>\n<p>5. When placing an order via the online shop, the customer receives an overview of the essential contract data before submitting the order.<\/p>\n<p>6. The Seller is entitled to reject orders in particular due to non-availability, obvious price or display errors, technical errors, statutory restrictions or other objective reasons.<\/p>\n<p>7. Payments already made will be refunded in the event of justified non-acceptance of the order.<\/p>\n<p>\u00a7 3 PRICES<\/p>\n<p>1. The prices displayed to the customer in the respective offer or ordering process shall apply.<\/p>\n<p>2. For consumers, the legally required total prices including applicable VAT are displayed.<\/p>\n<p>3. For businesses, prices may be stated as net prices plus applicable VAT.<\/p>\n<p>4. Before completion of the order, the customer will be shown the prices applicable to their order and, where applicable, shipping costs.<\/p>\n<p>5. For deliveries outside the European Union, customs duties, import duties, taxes and other governmental charges may additionally arise. To the extent legally permissible, these shall be borne by the customer.<\/p>\n<p>\u00a7 4 PAYMENT TERMS<\/p>\n<p>1. The payment methods offered in the respective ordering process are available to the customer.<\/p>\n<p>2. These may include in particular:<br \/>\n&#8211; bank transfer,<br \/>\n&#8211; credit card,<br \/>\n&#8211; debit card,<br \/>\n&#8211; other payment methods expressly offered in the shop.<\/p>\n<p>3. The Seller may offer or exclude certain payment methods depending on the order, customer, delivery country or credit assessment.<\/p>\n<p>4. Payment by invoice may be granted to businesses in particular following individual assessment and agreement. There is no entitlement to this.<\/p>\n<p>5. Unless otherwise agreed, the purchase price is due upon conclusion of the contract.<\/p>\n<p>6. In the case of agreed advance payment, processing of the order generally begins after full receipt of payment.<\/p>\n<p>7. The Seller may withhold delivery as long as a due payment has not been made in full, to the extent legally permissible.<\/p>\n<p>8. Statutory rights shall apply in the event of payment default.<\/p>\n<p>\u00a7 5 DELIVERY<\/p>\n<p>1. The Seller delivers within the delivery areas offered in the shop.<\/p>\n<p>2. The following generally apply as non-binding standard delivery times:<br \/>\nEU: 2\u201310 working days<br \/>\noutside the EU: 5\u201321 working days<\/p>\n<p>3. Longer delivery times may be required for certain goods.<\/p>\n<p>This applies in particular to:<br \/>\n&#8211; dangerous goods,<br \/>\n&#8211; safety equipment,<br \/>\n&#8211; rescue and special equipment,<br \/>\n&#8211; engines and power units,<br \/>\n&#8211; heavy technical components,<br \/>\n&#8211; bulky goods,<br \/>\n&#8211; freight forwarding goods,<br \/>\n&#8211; special transports.<\/p>\n<p>4. The specific delivery time will be stated, where required, in the offer, ordering process or order confirmation.<\/p>\n<p>5. For businesses, delivery times are generally non-binding estimates unless a binding delivery period has been expressly agreed.<\/p>\n<p>6. For consumers, the statutory provisions on delivery periods and delay in delivery apply.<\/p>\n<p>7. Partial deliveries are permissible insofar as they are reasonable for the customer and do not result in impermissible additional costs.<\/p>\n<p>\u00a7 6 SHIPPING COSTS<\/p>\n<p>1. The shipping costs applicable to the respective order are displayed to the customer before completion of the order.<\/p>\n<p>2. Promotional offers with free delivery apply exclusively in accordance with the respective promotional terms.<\/p>\n<p>3. An offer of \u201cfree worldwide delivery\u201d does not automatically include special costs for, for example:<br \/>\n&#8211; dangerous goods,<br \/>\n&#8211; oversized goods,<br \/>\n&#8211; heavy transport,<br \/>\n&#8211; freight forwarding goods,<br \/>\n&#8211; island deliveries,<br \/>\n&#8211; remote delivery areas,<br \/>\n&#8211; special transports required by authorities.<\/p>\n<p>4. Where additional transport costs may arise, these will be communicated to the customer before conclusion of the contract, insofar as this is possible under the circumstances.<\/p>\n<p>5. Customs duties, import duties and taxes are not shipping costs.<\/p>\n<p>\u00a7 7 INTERNATIONAL DELIVERIES<\/p>\n<p>1. For international deliveries, the customer is responsible for compliance with the import regulations applicable in the destination country insofar as this falls within their area of responsibility.<\/p>\n<p>2. The Seller accepts no responsibility for delays caused exclusively by customs authorities or other authorities in the destination country.<\/p>\n<p>3. Deliveries will not be made if statutory export, import, sanctions or other trade restrictions prevent them.<\/p>\n<p>\u00a7 8 TRANSFER OF RISK<\/p>\n<p>B2B<\/p>\n<p>1. For businesses, the risk of accidental loss and accidental deterioration generally passes to the customer upon handover of the goods to the carrier, insofar as this is permissible under the applicable law.<\/p>\n<p>B2C<\/p>\n<p>2. For consumers, the mandatory statutory provisions on the transfer of risk apply.<\/p>\n<p>\u00a7 9 RETENTION OF TITLE<\/p>\n<p>1. The goods remain the property of the Seller until full payment has been made, insofar as legally permissible.<\/p>\n<p>2. For businesses, the retention of title may, insofar as legally permissible, also secure all claims arising from the ongoing business relationship.<\/p>\n<p>3. For consumers, only legally permissible retention of title provisions apply.<\/p>\n<p>\u00a7 10 INSPECTION OF GOODS \/ NOTICE OF DEFECTS<\/p>\n<p>B2B<\/p>\n<p>1. Businesses must inspect the goods immediately after receipt for apparent defects and completeness.<\/p>\n<p>2. Obvious defects should be notified in text form within five working days of receipt, insofar as such an obligation to give notice of defects can be effectively agreed under the applicable law.<\/p>\n<p>3. Hidden defects must be notified without undue delay after their discovery.<\/p>\n<p>B2C<\/p>\n<p>4. For consumers, the statutory provisions apply. The special commercial inspection and notification obligations do not apply.<\/p>\n<p>\u00a7 11 STATUTORY WARRANTY<\/p>\n<p>1. The Seller is liable for defects in accordance with the statutory provisions.<\/p>\n<p>2. For consumers, in particular the statutory rights arising from the legal guarantee of conformity (Garantie l\u00e9gale de conformit\u00e9) and from statutory liability for latent defects remain fully unaffected.<\/p>\n<p>3. A manufacturer&#8217;s warranty exists in addition only if it is expressly offered by the manufacturer or Seller.<\/p>\n<p>4. A manufacturer&#8217;s warranty does not limit the customer&#8217;s statutory rights.<\/p>\n<p>5. For businesses, the statutory warranty rights apply with the limitations validly agreed in these GTC and permitted by law.<\/p>\n<p>\u00a7 12 RETURNS \/ RMA<\/p>\n<p>1. For organisational purposes, the Seller may require prior contact and the issue of an RMA number for returns.<\/p>\n<p>2. The RMA procedure serves solely for organisational processing.<\/p>\n<p>3. An RMA requirement may not result in any restriction of statutory consumer rights.<\/p>\n<p>4. Additional conditions may apply to voluntary returns outside statutory claims, in particular:<br \/>\n&#8211; unused condition,<br \/>\n&#8211; original packaging,<br \/>\n&#8211; completeness,<br \/>\n&#8211; resaleability,<br \/>\n&#8211; return at the customer&#8217;s expense,<br \/>\n&#8211; exclusion of certain goods.<\/p>\n<p>5. These requirements do not apply insofar as the customer exercises statutory rights, in particular withdrawal or warranty rights.<\/p>\n<p>6. The details of the practical RMA procedure may be regulated in a separate RMA policy.<\/p>\n<p>\u00a7 13 RIGHT OF WITHDRAWAL FOR CONSUMERS<\/p>\n<p>1. Consumers generally have a statutory right of withdrawal in distance contracts.<\/p>\n<p>2. The withdrawal period is generally 14 days, unless a statutory exception applies.<\/p>\n<p>3. The complete withdrawal information, including information on commencement, exercise, consequences and statutory exceptions, is provided to the consumer before conclusion of the contract.<\/p>\n<p>4. The right of withdrawal does not exist insofar as a statutory exception applies.<\/p>\n<p>5. This may apply in particular to goods made to the customer&#8217;s specifications or clearly personalised, as well as other goods specified by law.<\/p>\n<p>6. The RMA procedure does not replace the statutory declaration of withdrawal.<\/p>\n<p>\u00a7 14 REFUND IN THE EVENT OF WITHDRAWAL<\/p>\n<p>1. In the event of an effective withdrawal, payments received will be refunded in accordance with the statutory provisions.<\/p>\n<p>2. The refund will generally be made using the same means of payment used for the original transaction.<\/p>\n<p>3. The Seller may withhold the refund to the extent legally permissible until receipt of the goods or until proof of return has been provided.<\/p>\n<p>4. The consumer shall bear the direct costs of returning the goods insofar as this is legally permissible and has been communicated accordingly before conclusion of the contract.<\/p>\n<p>\u00a7 15 LIABILITY<\/p>\n<p>1. The Seller is liable in accordance with the statutory provisions.<\/p>\n<p>2. For businesses, liability for simple negligence may, insofar as legally permissible, be limited to breaches of essential contractual obligations.<\/p>\n<p>3. A limitation of liability does not apply in the event of:<br \/>\n&#8211; intent,<br \/>\n&#8211; gross negligence,<br \/>\n&#8211; injury to life, body or health,<br \/>\n&#8211; mandatory statutory liability,<br \/>\n&#8211; expressly assumed guarantees.<\/p>\n<p>4. For consumers, the mandatory statutory liability provisions apply.<\/p>\n<p>\u00a7 16 FORCE MAJEURE<\/p>\n<p>1. Events beyond the Seller&#8217;s reasonable sphere of influence may affect the performance obligations for the duration of the disruption.<\/p>\n<p>2. These may include in particular:<br \/>\n&#8211; war,<br \/>\n&#8211; natural disasters,<br \/>\n&#8211; official measures,<br \/>\n&#8211; pandemics,<br \/>\n&#8211; significant supply chain disruptions,<br \/>\n&#8211; strikes,<br \/>\n&#8211; transport disruptions,<br \/>\n&#8211; power outages,<br \/>\n&#8211; cyberattacks,<br \/>\n&#8211; other unforeseeable events beyond the Seller&#8217;s control.<\/p>\n<p>3. The statutory rights of the parties remain unaffected.<\/p>\n<p>\u00a7 17 SET-OFF AND RIGHT OF RETENTION<\/p>\n<p>B2B<\/p>\n<p>1. Businesses may set off only against undisputed claims or claims established by a final and binding judgment, insofar as legally permissible.<\/p>\n<p>2. Rights of retention may only be exercised to the extent legally permissible.<\/p>\n<p>B2C<\/p>\n<p>3. For consumers, the statutory provisions apply.<\/p>\n<p>\u00a7 18 INTELLECTUAL PROPERTY AND DOCUMENTS<\/p>\n<p>1. Technical drawings, product documentation, images, data sheets and other documentation remain, unless otherwise stated, the property of the respective rights holder.<\/p>\n<p>2. Reproduction or use beyond the contractual purpose is only permitted insofar as legally allowed or expressly authorised.<\/p>\n<p>\u00a7 19 DATA PROTECTION<\/p>\n<p>The processing of personal data is carried out in accordance with the applicable data protection regulations.<\/p>\n<p>Further information is contained in the Seller&#8217;s separate privacy policy.<\/p>\n<p>\u00a7 20 APPLICABLE LAW<\/p>\n<p>B2B<\/p>\n<p>1. Contracts with businesses shall be governed by French law insofar as such choice of law is permissible.<\/p>\n<p>2. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded insofar as legally permissible.<\/p>\n<p>B2C<\/p>\n<p>3. For consumers, the choice of law applies only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions that would apply to the contract in the absence of such choice of law.<\/p>\n<p>4. Mandatory consumer protection provisions of the consumer&#8217;s habitual residence therefore remain unaffected.<\/p>\n<p>\u00a7 21 PLACE OF JURISDICTION<\/p>\n<p>B2B<\/p>\n<p>1. For disputes with businesses, the registered seat of the Seller in Dunkerque, France, shall be agreed as the place of jurisdiction insofar as legally permissible.<\/p>\n<p>2. The Seller may also sue businesses at any other court having jurisdiction under the law.<\/p>\n<p>B2C<\/p>\n<p>3. For consumers, the statutory jurisdiction provisions apply.<\/p>\n<p>4. In particular, mandatory consumer rights concerning jurisdiction remain unaffected.<\/p>\n<p>\u00a7 22 CONSUMER MEDIATION<\/p>\n<p>1. The Seller will first seek a direct and amicable solution to consumer complaints.<\/p>\n<p>2. Under French law, following a prior written complaint to the Seller, a consumer generally has the possibility of referring the matter to a consumer mediator competent for the Seller. The Seller must provide the contact details of its competent mediator on its website and in its terms and conditions of sale.<\/p>\n<p>3. This includes in particular:<br \/>\n&#8211; identity and address of the Seller;<br \/>\n&#8211; essential characteristics of the goods;<br \/>\n&#8211; total price;<br \/>\n&#8211; shipping costs;<br \/>\n&#8211; payment terms;<br \/>\n&#8211; delivery terms;<br \/>\n&#8211; complaint procedure;<br \/>\n&#8211; statutory warranty rights;<br \/>\n&#8211; right of withdrawal;<br \/>\n&#8211; statutory exceptions to the right of withdrawal;<br \/>\n&#8211; information on consumer mediation.<\/p>\n<p>3. The online ordering process is designed so that the customer clearly recognises that the order entails an obligation to pay.<\/p>\n<p>4. The contractual information is provided to the consumer on a durable medium.<\/p>\n<p>\u00a7 24 CHANGES TO THE GTC<\/p>\n<p>1. For businesses, changes to the GTC may be agreed subject to the statutory requirements.<\/p>\n<p>2. For consumers, the statutory requirements for changes to contractual terms apply.<\/p>\n<p>3.
